United Payments provides UK businesses with a range of payment and commerce solutions, including (but not limited to) card terminals, EPOS systems, e-commerce payment gateways, business finance introductions, and web design. Our website provides general information about these Services. The specific commercial terms, fees, equipment, service levels and responsibilities applicable to any paid Service will be set out in a separate Merchant Agreement or order form, which shall prevail over any inconsistent statement on this website.

5. Eligibility

Our Services are intended for businesses, sole traders and partnerships established and operating in the United Kingdom. To use our Services you must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of your business. We reserve the right to refuse service, decline an application or terminate an account where we are required to do so by law, regulation, scheme rules or internal risk policy.

6. Your responsibilities

  • You must provide accurate, current and complete information when submitting enquiries or applications.
  • You must keep any credentials used to access our systems confidential and notify us immediately of any unauthorised use.
  • You must comply with all applicable laws, card scheme rules and any contractual obligations in the Merchant Agreement.
  • You must not use our website or Services for any unlawful, fraudulent or prohibited purpose.
  • You are responsible for the accuracy of transactions, refunds and chargebacks arising from your use of payment processing services.

7. Fees and payment

Information on the website about indicative pricing is provided for general guidance only and does not constitute a binding offer. All fees, charges, discounts, settlement arrangements and payment terms that apply to the Services will be set out in your Merchant Agreement. Unless expressly stated otherwise, fees are exclusive of VAT where applicable.

8. Service availability

We strive to maintain a service availability target of 99.9% for our live payment services. However, we do not guarantee that the website or any Service will be uninterrupted, error-free or available at all times. We may suspend, withdraw or restrict availability for operational, maintenance, regulatory or security reasons. We will give reasonable notice of planned downtime where practical.

9. Intellectual property

All content on our website — including text, graphics, logos, icons, images, audio, video, software, trademarks and trade names — is owned by or licensed to United Payments and is protected by UK and international intellectual property laws. You may view and print pages from the website for your own personal or internal business use, but you may not otherwise reproduce, distribute, modify or exploit any content without our prior written consent.

Our total aggregate liability arising out of or in connection with these Terms shall not exceed £100, save where a higher amount is expressly agreed in a Merchant Agreement.

You agree to indemnify, defend and hold harmless United Payments, its directors, employees, agents and affiliates from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the website, or your violation of any applicable law or the rights of any third party.

14. Termination

We may suspend or terminate your access to the website at any time, with or without notice, where we reasonably consider such action to be necessary. On termination, clauses intended to survive (including intellectual property, disclaimers, limitation of liability and governing law) shall remain in force. Termination of access to the website does not of itself terminate any separate Merchant Agreement, which is governed by its own terms.

We may amend these Terms at any time by posting the updated version on this page. The updated Terms will take effect from the "Last updated" date shown above. Your continued use of the website after any changes constitutes your acceptance of the revised Terms.

16. Force majeure

We shall not be liable for any failure or delay in performance caused by events outside our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, industrial action, failures of third-party networks, utility or telecommunications failures, pandemics, or changes in law.

17. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. You and United Payments agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
